Terms Governing Use Of GOPELIA Internal Software Integrations. Effective August 6, 2026.
This End User License Agreement ("Agreement") is between Matcon Construction LLC, a Florida limited liability company doing business as GOPELIA Metalworks ("GOPELIA", "we", "us"), and each individual authorized by GOPELIA to use the Software ("you"). By accessing or using the Software, you accept this Agreement. If you do not accept it, do not use the Software.
"Software" means GOPELIA's internal, privately operated software integrations, workflows, scripts, and reporting automations, including the GOPELIA integration with Intuit QuickBooks Online that retrieves GOPELIA's own accounting data to produce internal receivables, collections, and cash reporting. The Software is built for GOPELIA's internal operations. It is not a commercial product, it is not sold or licensed to the public, and it is not listed for general use on the QuickBooks App Store.
GOPELIA grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Software solely as an owner, officer, employee, contractor, or authorized professional advisor of GOPELIA, and solely for GOPELIA's internal business purposes. No other use is licensed.
Access is limited to individuals GOPELIA designates in writing. Credentials are personal and must not be shared. You must notify GOPELIA immediately if you believe credentials have been exposed or if your authorization ends.

The Software relies on third-party platforms, including Intuit QuickBooks Online and workflow automation and hosting providers. Your use of those platforms is also subject to their own terms and privacy policies. GOPELIA does not control and is not responsible for third-party platforms, their availability, or changes they make to their APIs or terms. Intuit is not a party to this Agreement and makes no representation or warranty regarding the Software.
Data handled by the Software, including QuickBooks Online accounting data, is GOPELIA confidential information. Handling is described in the GOPELIA Privacy Policy, which is incorporated by reference. You must keep that data confidential, use it only for authorized GOPELIA business purposes, and return or delete it when your authorization ends.
GOPELIA and its licensors retain all right, title, and interest in the Software, including all intellectual property rights. This Agreement grants a license only, not a sale or assignment of any rights.
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. GOPELIA DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT REPORTS OR ALERTS IT PRODUCES ARE COMPLETE OR ACCURATE. OUTPUT OF THE SOFTWARE IS NOT ACCOUNTING, TAX, OR LEGAL ADVICE AND MUST BE VERIFIED AGAINST SOURCE RECORDS BEFORE BEING RELIED ON FOR ANY FINANCIAL, CONTRACTUAL, OR LIEN DECISION.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOPELIA WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATING TO THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY. GOPELIA'S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO THIS AGREEMENT WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (USD $100).
This Agreement applies for as long as you are authorized to use the Software. GOPELIA may suspend or terminate access at any time, with or without notice, including immediately on separation, suspected credential compromise, or breach of this Agreement. On termination you must stop using the Software and return or delete all GOPELIA data in your possession. Sections 5, 7, 8, 9, 10, and 12 survive termination.
This Agreement is governed by the laws of the State of Florida, without regard to conflict of law rules. The exclusive venue for any dispute is the state or federal courts located in Miami-Dade County, Florida, and each party consents to that jurisdiction.
GOPELIA may revise this Agreement. The effective date at the top of the page shows the current version. Continued use of the Software after a revision is posted constitutes acceptance of the revised Agreement.
This Agreement is the entire agreement regarding the Software and supersedes prior understandings on that subject. If any provision is held unenforceable, the remainder stays in effect and the unenforceable provision is limited to the minimum extent necessary. Failure to enforce a provision is not a waiver.
